School of Continuing and Professional Studies - From IPO to Continuing Obligations of Hong Kong Listed Companies


Programme details

This course is designed for participants who intend to prepare or in the process of preparing for the Initial Public Offer (IPO) and those who are currently working in listed companies. It will enable participants to understand the various methods of raising share capital in compliance with relevant Ordinances, Listing Rules, Codes and related rules and regulations.


The course covers the following contents:
- IPO (Traditional & SPAC) and placing methods of raising share capital;
- Other methods: Rights issue, open offer, general / specific mandate, warrants / options;
- Valuation and information on properties;
- Inside information & insider dealing;
- Suspension, resumption & delisting;
- ESG;
- Risk management and internal control;
- Notifiable transactions;
- Connected transactions.


Students may apply for Continuing Professional Development (CPD) hours from the Hong Kong Chartered Governance Institute. Moreover, upon completion of this Part 1 course, students will be eligible to enrol its Part 2 course “From Continuing Obligations to Dissolutions of Hong Kong Listed Companies” (Course No.: 640625) to acquire knowledge on the entire Hong Kong Listing Rules within 5 months.
