School of Continuing and Professional Studies - From Continuing Obligations to Dissolution of Hong Kong Listed Companies


Programme details

This course is designed to help participants understand and comply with the relevant Ordinances, Listing Rules, Codes and related rules and regulations by means of handouts, articles and case studies. It also equips participants with practical ways to discharge their responsibilities and promote good corporate governance in their organisations. The course covers the following contents:
- Corporate Governance Code;
- Functions and powers of HKEX and SFC;
- Investment vehicles;
- General obligations of disclosure;
- Share option scheme;
- Share buy-back and privatization;
- Responsible persons, committees and auditors;
- Black-out period and Model Code;
- SFC - disclosure of interests and directors’ securities dealing; and
- Scheme of arrangement, deregistration, liquidation and dissolution.
Upon completion of the course, students may apply for Continuing Professional Development (CPD) hours from the Hong Kong Chartered Governance Institute.
